Ticket Seller Terms

Payment Processing; Appointment as Agent
All payments from users who purchase Tickets (the “Ticket Purchasers”) will be processed by Partiful’s third-party payment processor (currently Stripe, Inc. and its affiliates, “Stripe”). You hereby appoint, and agree to hold out, Partiful and Stripe as your agent for the limited purpose for receiving and settling payments for Ticket purchases processed through the Service. You agree and acknowledge that a payment received by Partiful and/or Stripe from a Ticket Purchaser, on your behalf, satisfies the Ticket Purchaser’s payment obligation to you in the amount of the payment received by Partiful and/or Stripe, regardless of whether we actually remit such payment to you.
To use the ticketing and payment processing services, you agree to be onboarded by Stripe and establish a Stripe Connected Account. You must agree to Stripe’s terms, conditions and policies applicable to you at https://stripe.com/legal/ssa, which may be modified, updated, or supplemented from time to time without notice to you. You authorize Partiful to disclose to Stripe and our other service providers information we collected about you, your customers, and your transactions and activities for the purpose of completing the onboarding and know-your-customer (KYC) process, executing payout, complying with legal requirements, and reporting tax information (including collecting and remitting sales tax to relevant governmental authorities in relevant jurisdictions). You represent and warrant that all information you provide in connection with onboarding and payout setup is accurate, complete, and current.
Fees; Payouts
You may be charged fees for us to process and manage Ticket purchases in connection with your events hosted on the Service (“Platform Fees”). Platform Fees will be disclosed to you during the event creation flow. Your Ticket sales payout will be remitted to you net of Platform Fees, if any, taxes collected or remitted where required by law, and any other amounts owed to Partiful under these Seller Terms or the General Terms. Unless provided otherwise, Platform Fees, if any, are fully earned by us at event creation and are non-refundable.
Timing; Reserve Account
Payout from your sales will be generally available for withdrawal to your external bank account three (3) days after the applicable event concludes. This timing may be modified by Partiful in its discretion, including on a per-Organizer basis.
Partiful and/or Stripe reserve the right to withhold, delay, offset, or reserve payouts where it reasonably determines that such action is necessary due to pending refunds, suspected fraud, elevated chargeback risk, event non-performance, unpaid taxes, regulatory inquiry, legal claims and orders, or violations of these Seller Terms or the General Terms.
Partiful does not guarantee the timing of transfers from Stripe to your designated bank account, as such transfers are subject to Stripe’s policies and banking processes.
If requested by Stripe, you agree to establish a reserve account (“Reserve Account”) to secure the performance of your obligations under these Seller Terms and/or your agreement with Stripe. The Reserve Account are subject to the terms and conditions established by Stripe in its sole discretion.
Refunds; Cancellations
You must clearly disclose your refund and event cancellation policies to the Ticket Purchasers, and you are solely responsible for ensuring that the policies comply with applicable law. If you cancel an event, you are responsible for refunding Ticket Purchasers the full face value of their Tickets and any applicable taxes required by law. Partiful will facilitate such refunds through its payment processor. Additionally, Partiful may, in its discretion, issue refunds to Ticket Purchasers where Partiful reasonably suspects Organizer non-performance, fraud, material listing error, or if required under applicable law. You are fully liable to Partiful for any such refunds and associated transaction costs.
In addition, if you cancel an event or we have to issue refunds on your behalf for any reason, you are responsible for any original service fees we need to refund to Ticket Purchasers associated with refunded Ticket purchases.
Chargebacks; Payment Disputes
You must respond to and resolve all questions, inquiries, and complaints about the events you host on the Service. You are responsible for all chargebacks, reversals, returned payments, refunds, and related third-party fees arising from Ticket sales, except to the extent prohibited by law. You may be charged a chargeback processing fee, which we may communicate to you via email or other communication means you opt into.
You agree to cooperate fully with Partiful and its payment processor in responding to chargebacks and disputes, including providing documentation reasonably requested to contest such disputes.
Organizer Responsibilities and Compliance
You are solely responsible for the planning, promotion, execution, and legal compliance of events you host on the Service. You represent and warrant that (i) you have the legal authority to host the event and sell the Tickets, (ii) all event descriptions are accurate in all respects and not misleading, and (iii) your event complies with all applicable laws and regulations, including but not limited to licensing, health and safety, consumer protection, and age-restriction laws.
You are responsible for obtaining all necessary permits, licenses, insurance coverage, and venue permissions required to host your event. Partiful does not supervise, control, or manage events and assumes no responsibility for event operations.
Your Liabilities Under These Seller Terms
For any amount you owe Partiful or Stripe under these Seller Terms or your agreement with Stripe, you authorize Partiful and Stripe to deduct such amount from your payout balance, set off against future payouts, or charge any payment method you have provided to Partiful.
Taxes
Unless otherwise required by applicable law or communicated at checkout, you are responsible for determining, collecting, reporting, and remitting any sales, use, VAT, or similar taxes applicable to Ticket sales. Where applicable law requires Partiful or its payment processor to collect and remit transaction taxes as a marketplace facilitator or similar intermediary, such taxes will be disclosed at checkout and handled accordingly. You remain responsible for all income taxes and reporting obligations arising from Ticket proceeds.
Prohibited Events
You may not list or sell Tickets for events that violate applicable law, infringe third-party rights, or violate the General Terms or terms of the payment processor. Partiful reserves the right to remove event listings, suspend Ticket sales, withhold payouts, or terminate your account for violations.
Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Partiful and the Partiful Parties from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your event, including but not limited to claims involving personal injury, property damage, refund obligations, chargebacks, tax liabilities, regulatory violations, or allegations that event content infringes third-party rights.
Suspension; Termination; Survival
Partiful may suspend or terminate your Ticket selling privileges or account in our sole discretion, including if we reasonably suspect fraud, non-fulfillment, excessive chargebacks, failure to complete KYC requirements, or other material breaches of these Seller Terms or the General Terms. Upon suspension or termination, Partiful may retain or reserve funds reasonably necessary to satisfy pending refunds, chargebacks, taxes, or other liabilities you owe us or other parties.
Your financial obligations, including obligations relating to refunds (including both Ticket price and service fees paid by Ticket Purchasers), Platform Fees, chargebacks, taxes, and indemnification, survive termination of your account.
